EXPLANATORY STATEMENT
This Explanatory Statement has been prepared for the information of Shareholders in relation
to the business to be conducted at the Annual General Meeting.
The purpose of this Explanatory Statement is to provide Shareholders with all information
known to the Company which is material to a decision on how to vote on the Resolutions in
the accompanying Notice of Annual General Meeting.
This Explanatory Statement should be read in conjunction with the Notice of Annual General
Meeting.
1. FINANCIAL STATEMENTS AND REPORTS
In accordance with the Corporations Act, the business of the Meeting will include
receipt and consideration of the annual financial report of the Company for the
financial year ended 30 June 2026 together with the declaration of the Directors, the
Directors’ report, the Remuneration Report and the auditor’s report.
The Company will not provide a hard copy of the Company’s annual financial report
to Shareholders unless specifically requested to do so. The Company’s annual financial
report is available on its website at https://www.albrightmetals.com/.
2. RESOLUTION 1 – ADOPTION OF REMUNERATION REPORT
2.1 General
The Corporations Act requires that at a listed company’s annual general meeting, a
resolution that the remuneration report be adopted must be put to the shareholders.
However, such a resolution is advisory only and does not bind the company or the
directors of the company.
The remuneration report sets out the company’s remuneration arrangements for the
directors and senior management of the company. The remuneration report is part of
the directors’ report contained in the annual financial report of the company for a
financial year.
The chair of the meeting must allow a reasonable opportunity for its shareholders to
ask questions about or make comments on the remuneration report at the annual
general meeting.
2.2 Voting consequences
A company is required to put to its shareholders a resolution proposing the calling of
another meeting of shareholders to consider the appointment of directors of the
company (Spill Resolution) if, at consecutive annual general meetings, at least 25% of
the votes cast on a remuneration report resolution are voted against adoption of the
remuneration report and at the first of those annual general meetings a Spill Resolution
was not put to vote. If required, the Spill Resolution must be put to vote at the second
of those annual general meetings.
If more than 50% of votes cast are in favour of the Spill Resolution, the company must
convene a shareholder meeting (Spill Meeting) within 90 days of the second annual
general meeting.
8
All of the directors of the company who were in office when the directors' report (as
included in the company’s annual financial report for the most recent financial year)
was approved, other than the managing director of the company, will cease to hold
office immediately before the end of the Spill Meeting but may stand for re-election
at the Spill Meeting.
Following the Spill Meeting those persons whose election or re-election as directors of
the company is approved will be the directors of the company.
2.3 Previous voting results
At the Company’s previous annual general meeting the votes cast against the
remuneration report considered at that annual general meeting were less than 25%.
Accordingly, the Spill Resolution is not relevant for this Annual General Meeting.
2.4 Board recommendation
The Directors decline to make a recommendation as to how Shareholders should vote
in respect of Resolution 1 as they each have an interest in the outcome of the
Resolution.
3. RESOLUTION 2 – ELECTION OF MR CHARLES RYAN, WHO HAS BEEN NOMINATED BY A
SHAREHOLDER, AS A DIRECTOR
3.1 Background
Clause 7.2(f) of the Company’s Constitution provides that a member may nominate
another person as a candidate for election as a Director at a general meeting, whether
or not that person is a member, by serving on the Company, at least 35 Business Days
before the general meeting:
• a notice of nomination signed by the member; and
• a consent to the nomination signed by the nominee.
The Company advises that it has received a nomination for the election of Mr Charles
Ryan as a non-executive Director of the Company at the Meeting, within the required
time prescribed under the Company’s Constitution.
By notice received by the Company on 5 October 2026, Mr Charles Ryan, who is an
external candidate, was nominated for election as a non-executive Director in
accordance with clause 7.2(f) of the Constitution.
3.2 Information provided by Mr Charles Ryan
Qualifications:
Bachelor of Economics - University of Western Australia
Post-Graduate Diploma of Applied Finance and Investment – Securities Institute of
Australia (now FINSIA)
Mr Ryan has provided the following information for inclusion in this Notice.
Mr Ryan is an international corporate finance and funds management executive with
more than 20 years of experience across Australia, Canada, the United Kingdom and
New Zealand, with a particular focus on the junior mining and natural resources sectors.
He is the founder and managing director of a private corporate advisory and business
development firm, which has facilitated the listing and financing of multiple junior
9
mining and growth companies on the CSE, ASX and other global exchanges. Earlier in
his career, Mr Ryan was an Investment Manager at a Perth-based natural resources
fund, where he managed a portfolio of more than $200 million in assets under
management. He holds a Bachelor of Economics (Finance and Banking) from the
University of Western Australia and postgraduate qualifications from the Financial
Services Institute of Australasia (FINSIA). Based in New Zealand, he can serve as a
strategic bridge between the Canadian (CSE/TSX) and Australian (ASX) capital
markets, offering the ABR board distinct global reach, capital market and network
liquidity.
Mr Ryan is presently not a director of any other ASX-listed company.
3.3 Independence
Mr Ryan has declared that:
• he has no interests, position, association or relationship that might influence, or
reasonably be perceived to influence, in a material respect his capacity to bring
an independent judgement to bear on issues before the Board and to act in the
best interest of the Company and its security holders generally.
• he does not fall into any of the standard disqualifying categories outlined in the ASX
guidelines. Specifically, he is not a substantial shareholder, has not been employed
in an executive capacity within the last three years, and does not have material
business, professional advisory, or contractual relationships with the Company.
Based on the declaration, if elected, the Board considers Mr Ryan will be an
independent director.
3.4 Board recommendation
The Company has conducted appropriate checks into Mr Ryan’s background and
experience. The Board has considered the nomination and recommends Shareholders
vote in favour of Resolution 2.
The Chairperson intends to exercise all available undirected proxies in favour of
Resolution 2.
4. RESOLUTION 3 – APPROVAL OF 7.1A MANDATE
4.1 General
Broadly speaking, and subject to a number of exceptions, Listing Rule 7.1 limits the
amount of Equity Securities that a listed company can issue without the approval of its
shareholders over any 12 month period to 15% of the fully paid ordinary securities it
had on issue at the start of that period.
However, under Listing Rule 7.1A, an eligible entity may seek shareholder approval by
way of a special resolution passed at its annual general meeting to increase this 15%
limit by an extra 10% to 25% (7.1A Mandate).
An ‘eligible entity’ means an entity which is not included in the S&P/ASX 300 Index and
has a market capitalisation of $300,000,000 or less. The market capitalisation of the
Company as at the date of this Notice is $4,661,367. The Company is therefore an
eligible entity for the purposes of Listing Rule 7.1A.
10
Resolution 3 seeks Shareholder approval by way of special resolution for the Company
to have the additional 10% placement capacity provided for in Listing Rule 7.1A to
issue Equity Securities without Shareholder approval. As Resolution 3 is a special
resolution, it must be passed by at least 75% of the votes cast by Shareholders present
and entitled to vote on the Resolution.
If Resolution 3 is passed, the Company will be able to issue Equity Securities up to the
combined 25% limit in Listing Rules 7.1 and 7.1A without any further Shareholder
approval.
If Resolution 3 is not passed, the Company will not be able to access the additional
10% capacity to issue Equity Securities without Shareholder approval under Listing Rule
7.1A, and will remain subject to the 15% limit on issuing Equity Securities without
Shareholder approval set out in Listing Rule 7.1.
4.2 Overview of Listing Rule 7.1A
(a) Quoted securities
Equity Securities issued under the 7.1A Mandate must be on the same terms as
an existing class of equity securities of the Company quoted on ASX.
As at the date of this Notice, the Company has two classes of quoted Equity
Securities on issue, being:
• fully paid ordinary Shares (ABR); and
• Options exercisable at $0.006 and with an expiry date of 6 January
2029 (ABRO).
(b) Formula for calculating 7.1A Mandate
Listing Rule 7.1A.2 provides that the Company may issue or agree to issue a
number of equity securities calculated in accordance with the following
formula under the 7.1A Mandate:
Additional Placement Capacity = (A x D) – E
where:
A is the number of Shares on issue 12 months before the commencement
of the relevant period:
• plus the number of Shares issued in the period from the date the
Company was admitted to the official list of ASX to the date
immediately preceding the date of the issue or agreement
(Relevant Period) under an exception in Listing Rule 7.2 (other
than exceptions 9, 16 or 17);
• plus the number of Shares issued in the Relevant Period on the
conversion of convertible securities within Listing Rule 7.2
exception 9 where:
o the convertible securities were issued or agreed to be
issued before the commencement of the Relevant Period;
or
11
o the issue of, or agreement to issue, the convertible
securities was approved, or taken under these rules to
have been approved, under Listing Rules 7.1 or 7.4;
• plus the number of Shares issued in the Relevant Period under an
agreement to issue securities within Listing Rule 7.2 exception 16
where:
o the agreement was entered into before the
commencement of the Relevant Period; or
o the agreement or issue was approved, or taken under
these rules to have been approved, under Listing Rules 7.1
or rule 7.4;
• plus the number of Shares issued in the Relevant Period with
approval under Listing Rules 7.1 or 7.4;
• plus the number of partly paid ordinary securities that became
fully paid in the Relevant Period; and
• less the number of Shares cancelled in the Relevant Period;
D is 10%; and
E is the number of equity securities issued or agreed to be issued under
Listing Rule 7.1A.2 in the Relevant Period where the issue or agreement
has not been subsequently approved by the Shareholders under Listing
Rule 7.4.
(c) Interaction with Listing Rule 7.1
Listing Rule 7.1 limits the number of equity securities that an entity may issue
without the approval of its shareholders over any 12 month period to 15% of the
fully paid ordinary shares it had on issue at the start of that period, subject to
certain exceptions.
The 7.1A Mandate is in addition to the Company’s 15% placement capacity
under Listing Rule 7.1.
4.3 Technical information required by Listing Rule 7.1A
Pursuant to and in accordance with Listing Rule 7.3A, the information below is
provided in relation to Resolution 3:
(a) Period for which the 7.1A Mandate is valid
The 7.1A Mandate will commence on the date of the Meeting and expire on
the first to occur of the following:
(i) the date that is 12 months after the date of this Meeting;
(ii) the time and date of the Company’s next annual general meeting; and
(iii) the time and date of approval by Shareholders of any transaction under
Listing Rule 11.1.2 (a significant change in the nature or scale of
activities) or Listing Rule 11.2 (disposal of the main undertaking).
12
(b) Minimum price
Any Equity Securities issued under the 7.1A Mandate must be in an existing
quoted class of Equity Securities and be issued for a cash consideration per
security which is not less than 75% of the volume weighted average price of
Equity Securities in that class, calculated over the 15 trading days on which
trades in that class were recorded immediately before:
(i) the date on which the price at which the Equity Securities are to be
issued is agreed by the entity and the recipient of the Equity Securities;
or
(ii) if the Equity Securities are not issued within 10 trading days of the date
in paragraph (i) above, the date on which the Equity Securities are
issued.
(c) Use of funds raised under the 7.1A Mandate
The Company intends to use funds raised from issues of Equity Securities under
the 7.1A Mandate as cash consideration for the acquisition of new assets or
investments, continued exploration and feasibility study expenditure on the
Company’s current assets and/or for general working capital purposes.
(d) Risk of Economic and Voting Dilution
Any issue of equity securities under the 7.1A Mandate will dilute the interests of
Shareholders who do not receive Shares under the issue.
If Resolution 3 is approved and the Company issues equity securities under the
7.1A Mandate, then there is a risk to existing Shareholders of economic and
voting dilution, including the risk that:
(i) the market price for equity securities in the same class may be
significantly lower on the issue date of the new equity securities than on
the date of the Meeting; and
(ii) the new equity securities may be issued at a price that is at a discount
to the market price for equity securities in the same class on the issue
date.
This may have an effect on the amount of funds raised by the issue of the equity
securities.
The table below identifies the potential dilution to existing Shareholders
following the issue of equity securities under the 7.1A Mandate (based on the
formula set out above) using different variables for the number of issued Shares
and the market price of Shares.

Notes: the above table has been prepared on the following assumptions:
1. the current market price is the closing price at which Shares were traded
on 13 October 2026 (being $0.003);
2. the current Shares on issue are the Shares at 13 October 2026 (being
1,553,788,997 Shares);
3. the Company issues the maximum number of equity securities available under the
7.1A Mandate;
4. existing Shareholders’ holdings do not change from the date of this Meeting to the
date of the issue under the 7.1A Mandate;
5. the Company issues Shares only and does not issue other types of equity securities
(such as Options) under the 7.1A Mandate;
6. the impact of placements under Listing Rule 7.1 or following the conversion of
convertible securities (e.g. Options, Performance Rights) is not included in the
calculations; and
7. economic dilution (ED) is calculated using the following formula:
ED = (MP – (NMC / TS)) / MP
where:
MP = the market price of shares traded on ASX, expressed in dollars;
MC = market capitalisation prior to issue of equity securities, being the MP
multiplied by the number of shares on issue;
NMC = notional market capitalisation, being the market capitalisation plus the NSV;
NSV = new security value, being the number of new equity securities multiplied by
the issue price of those equity securities; and
TS = total shares on issue following new Equity Security issue
(e) Allocation policy under the 7.1A Mandate
The Company’s allocation policy is dependent on the prevailing market
conditions at the time of any proposed issue pursuant to the 7.1A Mandate.
Potential allottees will be determined on a case-by-case basis having regard
to the factors including but not limited to the following:
14
(i) the purpose of the issue;
(ii) alternative methods for raising funds available to the Company at that
time, including, but not limited to, an entitlement issue, share purchase
plan, placement or other offer where existing Shareholders may
participate;
(iii) the effect of the issue of the Equity Securities on the control of the
Company;
(iv) the circumstances of the Company, including, but not limited to, the
financial position and solvency of the Company;
(v) prevailing market conditions; and
(vi) advice from corporate, financial and broking advisers (if applicable).
As at the date of the Notice, the Company has not identified any proposed
allottees of Equity Securities using the 7.1A Mandate. However, the eventual
allottees may include existing substantial Shareholders, other Shareholders
and/or new investors.
None of the allottees will be a Related Party or an associate of a Related Party
of the Company, except as permitted under Listing Rule 7.2. Existing
Shareholders may or may not be entitled to subscribe for Equity Securities under
the 7.1A Mandate and it is possible that their shareholding will be diluted.
The Company will comply with the disclosure obligations under Listing Rules
7.1A.4 and 3.10.5A upon issue of any Equity Securities under the 7.1A Mandate.
(f) Previous approval andissues under Listing Rule 7.1A in previous 12 months
The Company previously obtained approval from its Shareholders pursuant to
Listing Rule 7.1A at its annual general meeting held on 26 November 2025.
The Company has not issued any Equity Securities under Listing Rule 7.1A in the
12 months prior to the Meeting.
4.4 Voting Exclusion Statement
A voting exclusion statement is included in the Notice. As at the date of this
Explanatory Statement, the Company has not invited any existing Shareholder to
participate in an issue of Equity Securities under Listing Rule 7.1A. Therefore, no existing
Shareholders will be excluded from voting on Resolution 3.
4.5 Board recommendation
The Board recommends that Shareholders vote in favour of Resolution 3 as it will give
the Company the flexibility to issue securities without Shareholder approval to raise
necessary working capital in the future.
